Today the 3ds file format is essentially a neutral format (many programs open it and save it) for triangular mesh data. Max is a mesh modeler for the gaming and entertainment industry - not a CAD tool.

Use 'Import > Merge' to keep scene #1 contents and add more to it from scene #2. Or as @Diffus3d said, have 2 instances of 3ds max open and use something like Copitor. Apologies if I misunderstand.
